Agreement to Terms

By accessing or using Clivicy's services, you agree to be bound by these Terms of Service. If you disagree with any part of these terms, you may not access our services.

Services

Clivicy provides digital design and development services including web development, mobile app development, UI/UX design, and digital strategy consulting. The specific services provided will be outlined in individual project agreements.

Project Agreements

Each project will be governed by a separate project agreement that includes:

  • Scope of work and deliverables
  • Timeline and milestones
  • Payment terms and schedule
  • Intellectual property rights
  • Confidentiality provisions

Payment Terms

Payment terms will be specified in the project agreement. Generally, we require a deposit before work begins, with the remaining balance paid in installments based on project milestones. All payments are due within 30 days of invoice date unless otherwise agreed.

Intellectual Property

Upon full payment, clients receive ownership of the final deliverables as specified in the project agreement. Clivicy retains ownership of any pre-existing materials, tools, and methodologies. We reserve the right to showcase completed work in our portfolio unless otherwise agreed.

Client Responsibilities

Clients agree to:

  • Provide timely feedback and approvals
  • Supply necessary materials and information
  • Ensure they have rights to all provided content
  • Make payments according to agreed schedule
  • Maintain confidentiality of any proprietary information shared

Warranties and Disclaimers

We warrant that our services will be performed in a professional manner consistent with industry standards. However, we make no warranties regarding specific results or outcomes. Our services are provided "as is" without warranty of any kind.

Limitation of Liability

Clivicy's total liability for any claim arising from our services shall not exceed the amount paid by the client for the specific project giving rise to the claim. We shall not be liable for any indirect, incidental, or consequential damages.

Termination

Either party may terminate a project agreement with written notice. In the event of termination, the client shall pay for all work completed up to the termination date. Clivicy shall deliver all completed work upon receipt of payment.

Governing Law

These terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

Changes to Terms

We reserve the right to modify these terms at any time. We will notify clients of any material changes. Continued use of our services after changes constitutes acceptance of the new terms.
